U.K. Guidelines for Disclosure and Transparency in Private Equity CCMP Capital Advisors, LLC (“CCMP Capital”) is affiliated with CCMP Capital Advisors (UK), LLP (“CCMP UK”), an authorised entity regulated by the Financial Services Authority which acts as an investment sub-adviser to CCMP Capital. As a member of the BVCA, CCMP UK endorses and will comply with the recommendations in the Walker Guidelines of Disclosure and Transparency in Private Equity in the United Kingdom published in November 2007 on the “comply or explain” basis set out therein. CCMP Capital will use this web site as a means of conforming to the disclosure guidelines for a private equity firm. In addition, CCMP Capital will promote conformity with the Walker Guidelines among those investments in the U.K. which meet the Walker definitions of a Portfolio Company and in which CCMP Capital funds have a controlling interest. No U.K. investment held by CCMP Capital currently falls within the Walker definitions of a Portfolio Company. A description of the leadership of CCMP Capital, including biographies, can be found in the section of this web site entitled “Team”. The leadership of CCMP UK consists of Thomas Walker and Stephen Welton, both Senior Members of CCMP UK. Policies and procedures are in place to deal with potential conflicts of interests. Neither CCMP Capital nor CCMP UK has a Corporate Advisory business. Limited partners who have invested in CCMP Capital funds that can invest in U.K. portfolio companies for the purposes of the Walker guidelines consist of: financial institutions (34%), public pension funds (26%), funds of funds (16%), high net worth individuals (10%), insurance companies (7%), corporate pension funds (5%), and endowments and foundations (2%). 3% of these limited partners are U.K. entities. |
