U.K. Guidelines for Disclosure and Transparency in Private Equity

CCMP Capital is affiliated with CCMP UK, an authorised entity regulated by the Financial Conduct Authority which acts as an investment sub-adviser to CCMP Capital. As an adviser to its affiliate, CCMP UK does not have a separate investment approach of its own. CCMP UK is committed to conform on a “comply or explain” basis with the recommendations in the Walker Guidelines of Disclosure and Transparency in Private Equity in the United Kingdom published in November 2007. CCMP Capital uses this web site as a means of conforming to the disclosure guidelines for a private equity firm.

In addition, CCMP Capital will promote conformity with the Walker Guidelines among those investments in the U.K. which meet the Walker definitions of a Portfolio Company and in which CCMP Capital funds have a controlling interest. No U.K. investment held by CCMP Capital currently falls within the Walker definitions of a Portfolio Company.

Policies and procedures are in place to deal with potential conflicts of interests.

Limited partners who have invested in CCMP Capital funds that can invest in U.K. portfolio companies for the purposes of the Walker guidelines consist of: private funds (40.1%), public pension funds (31.8%), high net worth individuals (2.8%), other governmental entities (8.5%), insurance companies (8.0%), corporate pension funds (5.8%), endowments and foundations (2.3%) and financial institutions (0.8%). 8% of these limited partners are U.K. entities.
